Terms of Service

By accessing or using the Elromco platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services.

We reserve the right to update or modify these Terms at any time. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

Elromco provides a cloud-based moving company management software platform that includes customer relationship management (CRM), online quoting, dispatching, electronic bill of lading, invoicing, reporting, and related tools for moving companies.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Elromco of any unauthorized use of your account.

You must be at least 18 years old to create an account and use the Services.

Certain features of the Services require payment of fees. You agree to pay all applicable fees as described on our pricing page or in your service agreement.

Fees are billed in advance on a monthly or annual basis, depending on your subscription plan. All fees are non-refundable unless otherwise stated in writing.

We reserve the right to change our fees at any time. If we change fees for your current subscription, we will provide you with at least 30 days' notice before the changes take effect.

If payment is not received within the specified period, we may suspend or terminate your access to the Services.

The Services, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and design), are owned by Elromco and are protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of the software.

You retain ownership of all data you input into the Services ("Your Data"). By using the Services, you grant Elromco a limited license to use, process, and store Your Data solely for the purpose of providing the Services to you.

You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it.

Upon termination of your account, we will make Your Data available for export for a period of 30 days. After that period, we may delete Your Data from our systems.

You agree not to use the Services to: violate any applicable law or regulation; infringe on the rights of any third party; transmit any harmful code, viruses, or malicious software; attempt to gain unauthorized access to our systems or other users' accounts; use the Services for any fraudulent or deceptive purpose; or interfere with the proper working of the Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELROMCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL ELROMCO'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO ELROMCO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Elromco, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Either party may terminate the subscription at any time. You may cancel your account through your account settings or by contacting our support team.

We may suspend or terminate your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Elromco does not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
